Canary Wharf Announces Pricing of Senior Secured Notes

Canary Wharf Group Investment Holdings plc (“CWGIH” or the “Issuer”), the largest London-based REIT focusing on the sustainable development, management and ownership of an iconic collection of prime office and retail space and build-to-rent apartments in Canary Wharf, is pleased to announce the pricing of £900.0 million (equivalent) in aggregate principal amount of Senior Secured Notes (the “Notes”), consisting of £350,000,000 2.625% Senior Secured Notes due 2025, £300,000,000 3.375% Senior Secured Notes due 2028 and €300,000,000 1.750% Senior Secured Notes due 2026 (the “Offering”). The Notes are intended to be issued as green bonds and the Issuer intends to allocate an amount equal to the net proceeds from the Offering to the financing and refinancing of our green asset pool. Net proceeds allocated to previously incurred costs associated with our green asset pool will be available to repay certain credit facilities. The Issuer intends to use the proceeds from the Offering (i) to repay certain credit facilities; (ii) as cash and cash equivalents on balance sheet; and (iii) to pay fees and expenses in connection with the Offering. In connection with the Offering, the Issuer will also enter into £30.0 million revolving credit facility (the “Revolving Credit Facility”).

The Notes will be senior obligations of the Issuer and will not be guaranteed. The Notes will rank equally in right of payment with all the Issuer’s existing and future indebtedness that is not expressly subordinated in right of payment to the Notes. The Notes will be structurally subordinated to all existing and future obligations of the subsidiaries of the Issuer.  The Notes will, until a release event occurs, be secured by (i) charges over the shares in Songbird Finance Limited, CWG NewCo Limited (“NewCo”) and Canary Wharf Group plc, (ii) assignments of certain existing and future structural intercompany receivables and (iii) certain assets of NewCo pursuant to a floating charge (collectively, the “Collateral”). Under the terms of the Intercreditor Agreement to be entered into in connection with this Offering, in the event of an enforcement of the Collateral, the holders of the Notes will receive proceeds from such Collateral only after the lenders under the Revolving Credit Facility and counterparties to certain hedging obligations have been repaid in full.

Application will be made to list the Notes to the Official List of the International Stock Exchange.

The Notes and the guarantees thereof will not be, registered under the United States Securities Act of 1933, as amended (the “Securities Act”), or applicable state securities laws. Accordingly, the Notes will be offered only to qualified institutional buyers and to persons outside the United States in reliance on Rule 144A and Regulation S under the Securities Act, respectively. Unless so registered, the Notes may not be offered or sold in the United States except pursuant to an exemption from the registration requirements of the Securities Act and applicable state securities laws.
